Draft for legal review. These are a contract, and in this category a sloppy contract is the expensive kind of mistake. The plain-English version sits below so that everyone knows what is being agreed; counsel writes the binding text before this page is published.

What changes hands

A licence, not ownership. You buy the right to use a delivered file in your own business-to-business outreach. The underlying data stays ours, and the licence is yours — not your affiliates’, not your other office’s, not the shop down the hall.

What you may do with a file

Load it, dial it, message it inside your own rules, work it for as long as it is useful to you, and keep it in your own system. Cut it, filter it, merge it with what you already hold. It is your working copy.

What you may not

Resell it, publish it, sublicense it, pass it to another shop, or post it anywhere a third party can lift it. One buyer, one file. A delivered file turning up in someone else’s hands is the end of the account and the start of a different kind of conversation.

This is not a consumer report

What we sell is business contact data. It is not a consumer report, we are not a consumer reporting agency, and it must not be used for any purpose the Fair Credit Reporting Act governs — nothing about credit, insurance, employment or housing eligibility. A row tells you which business went looking for funding and how to reach it. What that merchant qualifies for is a question for your own underwriting.

Outbound is yours

Every call, text and email you send off a file is yours: the consent position, the calling hours, the do-not-call obligations, the dialer configuration, the state rules where you and the merchant sit. We will tell you what a file was checked against and the date it was checked. What you do with it after that is your decision and your exposure.

Defects

Handled by the replacement policy, which is written out in full and forms part of these terms. The short version: a defective row is swapped for a good one, and nothing already delivered comes back as money.

Liability, warranties, governing law, how these terms change and what happens on a dispute — all with counsel, all to be set down here before this page goes live. The absence of that section is deliberate; inventing one would be worse than leaving it visible.
